These Terms apply to visitors, users, customers, workspace members, and other individuals or organizations that access or use Nexus.

By accessing or using Nexus, you agree to be bound by these Terms and any policies incorporated into them, including our Privacy Policy.
1.3
If you are using Nexus on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.

If you do not agree to these Terms, you may not use Nexus.
2. Nexus Services
2.1
Nexus provides software and services that help customers submit, scope, organize, execute, manage, and deliver digital projects and tasks.
2.2
Depending on the project and plan, work may be completed using software, artificial intelligence systems, automated tools, Nexus personnel, independent experts, third-party service providers, or a combination of these resources.
2.3
Nexus may provide workspaces, project planning, research, digital production, design, development, ecommerce services, content, operations, integrations, files, previews, recommendations, and other project-related outputs.
2.4
Specific functionality may vary by account, plan, project, connected service, location, availability, and product release.
3. Accounts and Workspaces
3.1
Some Nexus features require an account or workspace.
3.2
You agree to provide accurate information when creating or maintaining an account.
3.3
You are responsible for maintaining the confidentiality and security of your credentials and for activity performed through your account.
3.4
Workspace administrators may invite other users and may be responsible for managing their access and permissions.
3.5
You are responsible for ensuring that users you invite are authorized to access information, files, systems, and projects within your workspace.
4. Projects, Instructions, and Customer Materials
4.1
You may provide Nexus with project requests, instructions, files, URLs, designs, data, credentials, brand materials, product information, feedback, and other content (“Customer Materials”).
4.2
You represent that you have the rights and permissions necessary to provide Customer Materials to Nexus and to authorize their use for the requested services.
4.3
You are responsible for the accuracy, legality, and completeness of the information and instructions you provide.
4.4
Nexus may use Customer Materials as necessary to provide, operate, support, and improve the services requested by you, subject to our Privacy Policy and applicable agreements.
5. AI, Agents, and Human Experts
5.1
Nexus may use artificial intelligence models, autonomous or semi-autonomous agents, third-party software, and human experts to perform project work.
5.2
AI-generated or automated outputs may contain errors, omissions, or unexpected results. You are responsible for reviewing outputs before relying on them for high-impact, regulated, financial, legal, medical, safety-critical, or other sensitive decisions.
5.3
Nexus may determine how work is routed among available tools, agents, experts, and service providers based on project requirements, availability, quality, cost, and other operational factors.
5.4
Where Nexus engages third-party experts or service providers to perform work, those providers may receive the information reasonably necessary to complete the assigned task.
6. Connected Services
6.1
Nexus may allow you to connect third-party services, accounts, applications, APIs, websites, or data sources.
6.2
By connecting a third-party service, you authorize Nexus to access and use that service to the extent necessary to provide the functionality you request.
6.3
Your use of third-party services remains subject to the terms and privacy policies of those third parties.
6.4
Nexus is not responsible for outages, changes, restrictions, or actions of third-party services that are outside our control.
7. Payments, Credits, and Subscriptions
7.1
Certain Nexus features, projects, execution services, credits, subscriptions, or human-expert services may require payment.
7.2
Prices and applicable charges will be presented through the platform, an order form, proposal, invoice, checkout flow, or other written agreement.
7.3
Where Nexus uses credits, credits may represent access to eligible services or execution and do not represent cash, stored value, or a bank account unless expressly stated otherwise.
7.4
Human-expert work, third-party costs, or other services may be priced separately from automated or credit-based work.
7.5
By providing a payment method or authorizing payment, you authorize Nexus and its payment providers to charge applicable amounts.
7.6
Subscription services may renew automatically unless canceled in accordance with the applicable plan or agreement.
7.7
Refunds, cancellations, unused credits, and project-specific billing terms are governed by the applicable checkout terms, order, proposal, plan, or written agreement.
8. Deliverables and Intellectual Property
8.1
Nexus retains ownership of its platform, software, systems, processes, models, tools, templates, methods, know-how, and other pre-existing technology and intellectual property.
8.2
Unless otherwise stated in an applicable agreement, after full payment of amounts owed for a project, the customer may use project-specific final deliverables created specifically for that customer for its business purposes.
8.3
Deliverables may incorporate Customer Materials, third-party software, open-source software, fonts, stock assets, platform components, APIs, templates, or licensed materials. These elements remain subject to their applicable licenses and ownership rights.
8.4
Nexus does not transfer ownership of third-party materials or Nexus’s underlying platform technology merely because they are used in a deliverable.
9. Acceptable Use
You agree not to use Nexus to:
Violate applicable law
Infringe intellectual property or privacy rights
Circumvent security controls
Introduce malicious code
Misrepresent your authorization to access a system or account
Facilitate fraud or deceptive activity
Abuse third-party platforms
Interfere with Nexus or other users
Use the platform for prohibited or harmful activity
Nexus may restrict or refuse projects that we reasonably believe violate law, third-party rights, platform policies, or our acceptable-use requirements.
10. Service Availability and Changes
10.1
Nexus may add, modify, suspend, or discontinue features from time to time.
10.2
We do not guarantee that every feature, integration, agent, expert, model, or third-party service will always be available.
10.3
Beta, experimental, or preview features may change, contain errors, or be discontinued.
11. Disclaimers
11.1
Nexus is provided on an “as is” and “as available” basis to the maximum extent permitted by law.
11.2
We do not guarantee uninterrupted operation, error-free outputs, specific business results, or that every project will meet every expectation without iteration.
11.3
Recommendations, research, generated content, and project outputs should be reviewed in light of your own business requirements and obligations.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Nexus and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from or related to your use of Nexus.
Any additional limitations, exclusions, or caps agreed in an applicable order form or services agreement will also apply.
13. Indemnification
To the extent permitted by law, you agree to indemnify and hold Nexus harmless from claims, losses, liabilities, and expenses arising from:
your unlawful use of Nexus
Customer Materials you provide
your violation of these Terms
your violation of third-party rights
14. Suspension and Termination
14.1
Nexus may suspend or terminate access where reasonably necessary due to nonpayment, misuse, security concerns, legal obligations, or violations of these Terms.
14.2
You may stop using Nexus at any time and may cancel applicable subscriptions according to their cancellation terms.
14.3
Sections that by their nature should survive termination will remain in effect.
15. Changes to These Terms
We may update these Terms as Nexus evolves or as legal requirements change.
When we make material changes, we will update the “Last Updated” date and provide additional notice where required by law.
Continued use of Nexus after updated Terms become effective constitutes acceptance of those Terms where permitted by law.
16. Governing Law
These Terms will be governed by the laws specified in the applicable agreement between you and Nexus. If no separate agreement applies, the governing law and forum will be determined in accordance with applicable law and Nexus’s principal place of business.
