These Terms and Conditions ("Terms") govern your access to and use of the websites, applications, and services provided by Nexus Commerce, Inc. ("Nexus Commerce," "we," "us," or "our"), including nexuscommerce.co and related subdomains (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. The Services
Nexus Commerce is an autonomous commerce agency. We provide strategic analysis, scoped recommendations, and execution of commerce-related work, including copy, design, sections, and pages, using automated systems supervised by human operators.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for your account credentials and for all activity under your account.
3. Subscriptions and billing
Paid Services are offered on a subscription basis unless otherwise stated. Fees are billed in advance and are non-refundable except where required by law. We may change pricing for future billing periods with reasonable notice.
4. Your responsibilities
You agree to provide accurate information, maintain valid integrations, review deliverables before approving deployment, and comply with applicable laws and third-party platform terms. You remain responsible for business decisions and approvals.
5. Integrations
The Services may depend on third-party platforms and tools. You authorize us to access connected services only as needed to provide the Services, subject to permissions you grant.
6. Deliverables and review
We may deliver work for your review before it goes live. You are responsible for reviewing outputs for accuracy, compliance, brand fit, and suitability before publishing or deploying.
7. Intellectual property
We retain ownership of the Services, our software, workflows, and branding. You retain ownership of your pre-existing materials. Upon payment of applicable fees, we grant you a license to use deliverables we create for you in connection with your business, subject to any third-party restrictions embedded in the work.
8. Acceptable use
You may not misuse the Services, interfere with their operation, attempt unauthorized access, infringe rights of others, or resell the Services without our written consent.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT GUARANTEE SPECIFIC BUSINESS RESULTS OR ERROR-FREE OPERATION.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify Nexus Commerce against claims arising from your use of the Services, your content or store, your breach of these Terms, or your violation of law or third-party rights.
12. Termination
We may suspend or terminate access for breach, non-payment, or security risk. Upon termination, your right to use the Services ends and outstanding fees remain due.
13. Changes
We may modify the Services or these Terms. Material changes will be posted on this page with an updated date. Continued use after changes constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
