This Terms of Service Agreement (“Agreement”) is between you (“Client”) and Nexus Commerce, Inc. (“Nexus Commerce”), a Shopify-focused service provider. By accessing our website or using our services, you agree to the following terms:

1. Overview

Nexus Commerce provides ongoing Shopify design, development, strategy, and marketing support through a monthly subscription model. All services are provided remotely through digital collaboration tools.

2. Ownership of Work

All custom design, code, and content produced for your Shopify store is 100% yours upon payment. We reserve the right to showcase completed work unless covered under a separate NDA.

3. Use of Third-Party Tools

Projects may include third-party assets (e.g. fonts, plugins, apps) that may require separate licensing. You are responsible for obtaining proper licenses unless otherwise stated.

4. Payment & Refunds

Service is billed monthly. Due to the digital nature of our work, all payments are non-refundable once work begins. You may cancel your subscription at any time before your next billing cycle.

5. Acceptable Use

Clients may not use our services to build or support illegal businesses or infringe on third-party rights. We reserve the right to refuse or discontinue service for violations.

6. Data & Access

Clients agree to provide appropriate collaborator access to their Shopify store and any third-party platforms (e.g. Klaviyo, Meta, GA4). We use this access strictly for service delivery and insights.

7. Confidentiality

We treat all client data as confidential. However, unless restricted by NDA, we may reference anonymized results or visual work for portfolio or marketing purposes.

8. Limitation of Liability

We do our best to deliver quality work, but we are not liable for any direct, indirect, or incidental damages arising from the use of our services.

9. Termination

You may cancel at any time. Nexus Commerce also reserves the right to terminate service for breach of terms, non-payment, or inappropriate behavior.

10. Governing Law

This Agreement is governed by the laws of the State of [Your State]. Disputes will be resolved in accordance with local jurisdiction.
